By accessing or using Geoscribe ("the Service"), operated by Geoscribe ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Geoscribe is an AI-powered SEO platform designed for agencies and businesses. The Service includes tools for content generation, keyword tracking, rank monitoring, Google Business Profile automation, client reporting, SEO auditing, uptime monitoring, AI chat agents, and geo-targeted landing pages. Access to features depends on your subscription plan.

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.

The Service is offered on a subscription basis with monthly and annual billing options. All plans include access to the full suite of tools; plans differ by content volume, location limits, and API credit allocations.

Free Trial — New accounts may be eligible for a free trial period. No credit card is required to start a trial. At the end of the trial, you must select a paid plan to continue using the Service.

Payment — Subscription fees are billed in advance on a recurring basis. Payment is processed through our third-party payment provider. You authorize us to charge your chosen payment method for all applicable fees.

Price Changes — We may adjust pricing with at least 30 days' notice before the change takes effect on your next billing cycle.

Refunds — Subscription fees are non-refundable except as required by applicable law. If you cancel mid-cycle, you retain access until the end of your current billing period.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service to generate, publish, or distribute content that is illegal, defamatory, fraudulent, or infringes on the rights of others.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use automated scripts, bots, or scrapers to access the Service beyond the provided API and integrations.
• Exceed your plan's content allocation, API limits, or location limits through circumvention.
• Resell, sublicense, or redistribute the Service without our written consent, except as part of legitimate white-label agency use as intended by the platform.

Your Content — You retain ownership of all content you create, upload, or generate through the Service, including articles, reports, and business data. By using the Service, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service.

Generated Content — Content generated by our AI tools is provided for your use. You are responsible for reviewing, editing, and approving all AI-generated content before publication. We do not guarantee that generated content is free from errors, and you assume responsibility for any content you publish.

Our Intellectual Property — The Service, including its software, design, features, documentation, and branding, is owned by Geoscribe and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or brand assets.

The Service allows you to connect third-party platforms including Google Search Console, Google Business Profile, WordPress, and cloud storage providers. By connecting these services, you authorize Geoscribe to access and interact with your data on those platforms as necessary to provide the features you have enabled.

We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party integrations is also governed by those services' own terms and policies. You are responsible for maintaining valid credentials and permissions for connected services.

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our control.

We will make reasonable efforts to notify users in advance of planned maintenance. We are not liable for any losses resulting from service downtime or interruptions.

By You — You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. Upon cancellation, your data will be retained for 30 days to allow for reactivation, after which it may be permanently deleted.

By Us — We reserve the right to suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees. We will provide notice before termination except in cases of severe violations.

Effect of Termination — Upon termination, your right to use the Service ceases immediately. We are not obligated to retain your data after the retention period.

To the maximum extent permitted by law, Geoscribe and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless Geoscribe from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your content, or your infringement of any rights of a third party.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
